SHIPPING
TERMS All shipments are
F.O.B. Stratford, CT. Drop shipments will be made prepaid,
unless otherwise specified, with applicable transportation charges added
to the invoice. Common carrier shipments will be sent freight
collect, and U.P.S. shipments will be prepaid and added to the
invoice. If no shipping instructions are specified with your order,
our method of transportation will be deemed acceptable. We reserve
the right to make partial shipments, unless specifically
requested. |

Drop shipments under
$50.00 Wholesale, will be assessed a $4.00 service
charge.

PAYMENT
TERMS are net 30
days. Service charge of 1 1/2% (18% per annum) will be assessed on
past due invoices.

PRICING shown in this listing
supersedes all past price lists. Prices are charged as of date of
shipment, not date of order. Prices, specifications and terms of
sale are subject to change without notice. Clerical errors are
subject to correction.

RECEIPT
OF MERCHANDISE Examine merchandise
immediately on arrival before using any portion thereof. If a
discrepancy exists notify us at once. Responsibility for an error in
shipment passes from the shipper to the consignee if the merchandise, or
any portion thereof, is used. |

POLICY
AUTHORIZING RETURN OF

A Return Authorization
Number (RAN) is required to return goods and must
be: |

1. In resaleable
condition (unless originally
defective). |
|
2. In original
complete packages (no partial packages accepted for
credit). |
|
3. Forwarding
shipping costs prepaid. |
|
4. A handling
charge of 20% will be applied to merchandise which is not
defective.
|
|
SPECIAL
PACKAGING PHC will honor
certain requests for special packaging. All shipments leave our
factory in good condition, and this is confirmed by the signature of a
representative of the transportation company. Title to merchandise
shipped F.O.B. our factories passes from us to you at the time of
shipment. Accordingly, any claim for damage must be made by
you. Protect your and our interest by refusing to accept damaged
shipments until the driver or representative of the transportation company
has inspected the damage and recorded a description of it on the bill of
lading or other paper. Obtain his signature. With this
accomplished you will be reimbursed for your loss without undue
delay. All claims should be filed by you immediately after receipt
of goods. If we insure we will replace; if you insure you make the
claim. Do not hesitate to consult our Traffic Department for
assistance in collecting your claim.

WARRANTY Seller warrants that
it has good title to the goods purchased by buyer and that its goods will
conform to buyer's specifications, if any. Except as otherwise
provided herein, all other warranties, whether expressed or implied, and
including, but not limited to, the warranty for merchantability and
fitness for a particular purpose are excluded. In all events,
buyer's sole and exclusive remedy shall be limited to the amount of the
purchase price of any products on which a claim is made as its exclusive
remedy for breach of the warranty expressed herein and for negligence and
otherwise. Under no circumstances shall seller be liable to buyer or
any other person for consequential or incidental damages.

CHOICE
OF LAW All disputes arising
out of all sales by seller to buyer shall be governed by the laws of the
State of Connecticut and litigated in
Fairfield County,
Connecticut. Buyer
hereby consents to the jurisdiction of the Courts residing in Fairfield County, Connecticut. |
